BE IT RESOLVED that the San Benito County Water District Board of Directors approve the Companion Agreement regarding Express and Implied Indemnity between Santa Clara Valley Water District, Santa Clara County, San Benito County Water District and San Benito County and authorize execution of same.

THE FOREGOING RESOLUTION was adopted at a regular meeting of the Board of Directors of the San Benito County Water District held on January 27, 1999 by the following vote:

AYES: DIRECTORS: Swanson, Perry, Gonzales, Rupert, Tobias

NOES: DIRECTORS: None

ABSENT: DIRECTORS: None
